AKiS SoundLAB – End User License Agreement (EULA)

Effective Date: June 1, 2026

This End User License Agreement ("Agreement") is a legally binding contract between you

(the "Licensee" or "User") and AKiS SoundLAB ("Licensor"). By purchasing, downloading, or

using any audio asset packs, sound effects, music loops, or percussion/melodic samples

(collectively, the "Audio Assets") provided by AKiS SoundLAB via itch.io, Sonniss, or any

other digital marketplace, you agree to be bound by the terms of this Agreement.

1. Grant of License

Subject to the terms and conditions of this Agreement, AKiS SoundLAB grants the Licensee

a worldwide, royalty-free, non-exclusive, perpetual, non-transferable license to use, modify,

and synchronize the Audio Assets within your commercial and non-commercial projects,

including video games and musical productions.

2. Permitted Uses (What You Can Do)

● Media Synchronization: You may synchronize the Audio Assets with visual media,

including but not limited to video games, films, trailers, animations, television shows,

advertisements, and podcasts.

● Music Production: You may use the Audio Assets (including loops, stems, and one-

shot samples) to create, produce, and release your own original musical

compositions, songs, beats, and tracks. You are permitted to distribute these

completed musical works on streaming platforms (e.g., Spotify, Apple Music,

YouTube) and retain 100% of your royalties.

● Modification: You may edit, pitch-shift, layer, chop, resample, or distort the Audio

Assets to fit the creative needs of your media or music project.

● Distribution: You may distribute and sell your completed project (e.g., your video

game, film, or commercial music release) containing the Audio Assets worldwide

across any platform, with no limit on copies sold or revenue generated.● Credit / Attribution: While not legally required for royalty-free use, adding "Sound

Effects provided by AKiS SoundLAB" in your project’s credits or "Special Thanks"

section is highly appreciated. It directly supports our ongoing work in creating high-

quality organic and procedural audio.

3. Prohibited Uses (What You CANNOT Do)

● No Reselling or Redistribution: You cannot resell, lease, sublicense, share, or

redistribute the Audio Assets as standalone audio files, sample libraries, sound effect

packs, loop kits, or virtual instruments, even if they are modified or resampled.

● No Derivative Audio-Only Products (No Asset Recycling): While you can use the

sounds to create original songs, you cannot use the Audio Assets to create

derivative ambient tracks, sound effects, or loops for the primary purpose of

redistributing them as standalone audio resources or stock audio.

● No AI Training: You are strictly prohibited from using the Audio Assets to train

machine learning models, generative AI systems, or synthesis algorithms.

4. Ownership

AKiS SoundLAB retains full copyright and intellectual property ownership of all the Audio

Assets. This license grants you the right to use the sounds under these specific terms, but

does not transfer ownership of the audio files themselves.

5. Limitation of Liability & Termination:

The Audio Assets are provided with a guarantee of original creation and technical

functionality. However, AKiS SoundLAB shall not be held liable for any indirect, incidental, or

consequential damages arising out of the integration of these sounds into software or third-

party platforms. This license is perpetual and cannot be revoked unless the Licensee strictly

violates the "Prohibited Uses" outlined in Section 3. In the event of a breach, the license for

that specific user will be terminated.
