For individuals. Personal use on unlimited projects. Limited commercial use on one End Product with a maximum of 2,000 sales or 20,000 monthly views. Single user only.
Indie License:
For freelancers and indie studios with gross revenue under USD $150,000/year. Unlimited commercial use across unlimited projects. Single user per license.
Studio License:
For studios and companies with gross revenue of USD $150,000/year or more. Unlimited commercial use. Multi-seat, all authorised employees within one studio covered under one license.
For all licenses:
- You may not redistribute, resell, share, or transfer Source Files in any form, not even for free.
- You may NOT use any Product or Source Files to train, fine-tune, or develop AI or machine learning models.
- You may NOT sublicense or transfer your license to another person or entity.
Full License Agreement
1. Parties & Definitions
This End User License Agreement (“Agreement”) is between:
• Licensor: Sherif Dawoud, an individual digital content creator (“we”, “our”, “us”).
• Licensee: The individual or entity that purchases, downloads, or uses any Product (“you”, “your”).
Key definitions used throughout this Agreement:
• "Product" means any digital file or content purchased from Sherif Dawoud, including but not limited to Substance Designer graphs and materials, texture packs, 3D models, tools, brushes, tutorials, and educational content.
• "Source Files" means the original, editable files included in a Product, such as .sbs, .sbsar, .blend, .zpr, .ztl, .zmt, texture maps, video files, project files, Unreal Engine Project files or any other raw file format delivered as part of the Product.
• "End Product" means a finished deliverable in which the Product or its Output is incorporated, such as a video game, film, animation, rendered image, or interactive application, where the Product itself is not directly accessible or extractable by end users.
• "Output" means any rendered image, baked texture, or other derivative created using a Product as part of a production pipeline.
• "Commercial Use" means any use intended to generate revenue, including End Products sold to third parties, client work, or any other for-profit application.
• "Gross Revenue" means the total income generated by a studio or entity from all commercial activities in the prior fiscal year before deductions.
2. Products Covered
This Agreement applies to all digital products sold by Sherif Dawoud across all platforms, including but not limited to:
• Substance Designer graphs, materials, and procedural tools
• 3D models, meshes, and scene assets
• Brushes and sculpting resources, anatomy reference
• Tutorials, courses, and educational video content
• Installable tools, plugins, and scripts
The applicable license type is stated on the product listing page at the time of purchase. If no license type is specified, the Personal License applies by default.
3. License Types
Three license types are available. Each is described in detail below. You must purchase the appropriate license for your intended use.
License A — Personal License
For personal use and limited small-scale commercial use
✓ PERMITTED
• Use the Product in an unlimited number of personal, non-commercial projects.
• Use the Product in ONE (1) commercial End Product, provided that End Product does not exceed 2,000 units sold or 20,000 monthly views.
• Modify, adapt, or incorporate the Product into your own production pipeline for the above permitted uses.
• One license covers use by a single individual on a single computer at a time.
✗ RESTRICTED
• Commercial use beyond the limits stated above (more than one commercial End Product, or exceeding 2,000 sales or 20,000 monthly views). Upgrade to a Commercial or Studio License.
• Use by corporate entities, studios, or teams of more than one person.
• Any redistribution, resale, or sharing of Source Files in any form — see Section 5.
• Any use in AI/ML model training — see Section 6.
License B — Indie License
For freelancers & indie studios with Gross Revenue under USD $150,000 per year
✓ PERMITTED
• Use the Product in an unlimited number of commercial and personal End Products with no sales volume cap.
• Use by a single individual or by a studio with a total Gross Revenue under USD $150,000 in the prior fiscal year.
• Modify and adapt the Product for use in your own production pipeline.
• One license covers use by a single authorised user at a time. Additional seats require additional licenses.
✗ RESTRICTIONS
• Use by studios or entities with Gross Revenue of USD $150,000 or more per year. Upgrade to a Studio License.
• Use by teams of more than one person under a single license. Each user requires their own license.
• Any redistribution, resale, or sharing of Source Files in any form — see Section 5.
• Any use in AI/ML model training — see Section 6.
License C — Studio License
For studios & companies with Gross Revenue of USD $150,000 or more per year
✓ PERMITTED
• Use the Product in an unlimited number of commercial and personal End Products with no sales volume cap.
• Use by multiple authorised employees within a single studio or company under one license.
• Modify and adapt the Product for use within your studio’s production pipeline.
• The license may be stored on a studio server or shared drive for access by authorised employees only.
✗ RESTRICTIONS
• Use by employees outside the purchasing studio or company without a separate license.
• Transfer or sublicense to subsidiaries, contractors, or third-party studios without written agreement.
• Any redistribution, resale, or sharing of Source Files in any form — see Section 5.
• Any use in AI/ML model training — see Section 6.
4. General Permitted Uses (All Licenses)
The following uses are permitted under all license types, subject to the specific restrictions of each license:
• Including Products or their Output in finished End Products such as video games, films, animations, rendered images, interactive applications, or similar content where Source Files are not directly accessible to end users.
• Using techniques, methods, or skills demonstrated in tutorial or course content in your own personal and commercial projects.
• Attribution is appreciated but not required. Crediting the Product in your project as: “Assets by Sherif Dawoud” with a link to your store or website.
5. Redistribution & Resale Restrictions
These restrictions apply to ALL license types without exception.
You may not sub-license, resell, share, transfer, or otherwise redistribute the Product, including its Source Files, in any circumstances, not even for free. This includes but is not limited to:
• Redistributing, reselling, or sharing Source Files as standalone files, asset packs, texture libraries, tool collections, or any other form of redistribution, whether paid or free.
• Including Source Files in any product, pack, or bundle you distribute to third parties, regardless of whether it is sold or given away at no cost.
• Uploading or sharing Source Files on any platform, forum, file-sharing service, or network.
• Transferring, sublicensing, or assigning your license to any other individual, studio, or entity.
• Sharing account credentials or download access with any person who has not purchased their own license.
Source Files may only be used within your own internal production pipeline as permitted by your license type. They must never be delivered to a third party in their raw, editable form.
6. Prohibition on Artificial Intelligence & Machine Learning
You may not use any Product, Source Files, Output, or any portion thereof for any of the following purposes:
• Training, fine-tuning, testing, benchmarking, or otherwise developing any artificial intelligence, machine learning, generative AI, or neural network model of any kind.
• Generating, creating, or producing AI-generated content, images, models, or other outputs using the Product as input data or training material.
• Incorporating the Product into any dataset, corpus, or training set intended for use with AI or machine learning systems.
• Using the Product in any automated content generation pipeline, whether commercial or non-commercial.
This prohibition applies regardless of the intended purpose of the AI system, the scale of the operation, or whether the use is commercial or non-commercial.
7. Intellectual Property
All Products, including Source Files, remain the exclusive intellectual property of Sherif Dawoud. This Agreement grants a limited, non-exclusive, non-transferable license only. No ownership, copyright, or intellectual property rights are transferred to you under any circumstances.
Purchasing a license does not grant you the right to claim authorship or ownership of any Product or any portion thereof.
8. Refunds
Due to the digital nature of all Products, all sales are final. Refunds are not offered unless a Product is materially defective or significantly differs from its published description. If you believe you have received a defective product, contact us within 14 days of purchase. Refund requests are subject to the refund policies of the platform through which the purchase was made.
9. Disclaimer of Warranties
Products are provided “as is” without warranties of any kind, express or implied. Compatibility with specific software versions or rendering pipelines beyond those stated on the product listing is not guaranteed. We do not warrant that any Product will meet your specific requirements or be error-free.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Sherif Dawoud shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of any Product. Total liability shall not exceed the amount paid for the specific Product giving rise to the claim.
11. Termination
This license terminates automatically if you breach any term of this Agreement. Upon termination you must immediately cease all use of the Product and delete all Source Files in your possession. Output already incorporated into completed End Products prior to termination may remain in those End Products.
12. Governing Law & Disputes
This Agreement is governed by applicable international commercial law principles. Disputes shall first be addressed informally by contacting us directly. If unresolved, disputes shall be submitted to the competent courts or arbitration body applicable to the purchasing platform through which the Product was acquired.
13. Updates to this Agreement
We reserve the right to update this Agreement at any time. Updated versions will be posted with a revised effective date. Continued use of any Product following a posted update constitutes acceptance of the revised terms. Material changes will be communicated through our store pages where possible.
